Lien Waiver

A document in which a contractor or supplier gives up mechanics lien rights, usually exchanged for a progress or final payment.

A lien waiver is the receipt of construction payment: a signed document relinquishing lien rights to the extent stated, exchanged when money moves. Owners and general contractors collect waivers at every pay application so that title stays clear and lenders keep funding. Waivers come in four standard flavors along two axes — conditional versus unconditional, and progress (partial) versus final. The axis that matters most to a credit manager is the first one: a conditional waiver takes effect only if the payment actually clears; an unconditional waiver is effective the moment it is signed, whether or not the check is good.

The cardinal rule is simple: never sign an unconditional waiver for money you have not actually received and cleared. Signing an unconditional waiver against a promised check — a routine request in the payment shuffle — means that if the check bounces or never arrives, you have surrendered the lien rights that were your leverage, while still being owed the money. Conditional waivers exist precisely to break this deadlock: the payer gets its paperwork, the payee keeps protection until funds clear. About a dozen states (California and Texas most prominently) mandate statutory waiver forms and void noncompliant ones; elsewhere, waiver language is negotiable and worth reading, because overbroad forms sometimes waive claims beyond the payment at hand, including retainage or claims for extra work.

Operationally, waiver management is a volume business — a busy supplier signs thousands per year — so standardize: maintain approved conditional and unconditional templates, train staff on the through-date and exceptions fields (carve out unpaid extras, disputed backcharges, and retainage explicitly), and reconcile every waiver against cash actually applied before releasing an unconditional.
