Exemption Reason Code

The stated basis on which a buyer claims exemption — resale, manufacturing, agriculture, government, nonprofit and similar — recorded on the certificate itself.

Every exemption certificate carries a reason, because the exemption is never simply from the buyer's identity in the abstract: it is from a specific statutory basis. Common reasons include purchase for resale, use in manufacturing or industrial processing, agricultural use, purchase by a government entity, purchase by a qualifying nonprofit, and direct pay. Multistate forms encode these as codes so that one form can carry different bases in different states.

The reason matters operationally because it determines what the certificate actually covers. A customer exempt as a reseller is not thereby exempt on the forklift it buys for its own warehouse, and a manufacturing exemption typically reaches equipment used directly in production and not the office furniture. A seller who files certificates without reference to the reason has a folder of documents rather than a view of what is covered.

The same customer can hold different reasons in different states, which is exactly why the multistate certificate forms are structured per jurisdiction rather than as a single blanket assertion. Capturing the reason as a field, alongside the registration number and the jurisdiction, is what turns a stored PDF into something a credit or tax team can answer questions from.
