Notice to Owner (NTO)

Notice to Owner is the Florida statutory term for what other states call a preliminary notice, and because Florida is one of the largest construction markets in the country, the NTO has become a term of art in national credit departments. Under Florida's construction lien law, a claimant without a direct contract with the owner — a subcontractor, sub-subcontractor, or material supplier — must serve an NTO on the owner (and typically the GC) before commencing work or within 45 days of first furnishing. Serve it late and lien rights are lost for the project; there is no partial protection for late notice as some other states allow.

The NTO tells the owner who is furnishing to the project so the owner can protect itself — under Florida's scheme, an owner who pays the GC after receiving an NTO without securing waivers from the noticing parties risks paying twice. That mechanism is what gives the notice its teeth: owners and their title companies take NTOs seriously, track them, and require corresponding lien waivers with every draw. A supplier who has noticed is inside the project's payment controls; one who has not is invisible to them.

Compliance mechanics matter in Florida more than most states: the statute prescribes the notice's content and delivery methods, the 45-day clock runs from first furnishing (including delivery of materials to the site), and the deadline is jurisdictional — courts do not forgive near misses. High-volume suppliers to Florida projects almost universally automate NTOs through internal systems or specialized services rather than relying on manual judgment.
